DESCRIPTION OF SERVICES
Greauxx provides services including but not limited to website design and development, search engine optimization, pay-per-click and social advertising, mobile and web application development, custom software development, CRM setup and automation, branding, video production, content marketing, and consulting. Specific scope, deliverables, timelines, and fees for client engagements are defined in separate written proposals or service agreements between Greauxx and the client, which control in any conflict with these Terms.
ACCEPTABLE USE
You agree not to use the Website to: violate any law or regulation; infringe the intellectual property, privacy, or other rights of any person; transmit harmful code, spam, or unsolicited communications; attempt to gain unauthorized access to the Website, its systems, or its users; scrape, copy, or reproduce Website content without written permission; or interfere with the normal operation of the Website.
INTELLECTUAL PROPERTY
All content on the Website, including text, graphics, logos, icons, images, audio, video, and software, is the property of Greauxx or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. CLIENT CONTENT
When you provide content to us for use in a project (text, images, logos, brand assets, account access), you warrant that you own or have the rights to provide that content and grant Greauxx a limited license to use it solely to deliver the services you have engaged us for.
QUOTES, PROPOSALS, AND PAYMENT
Quotes and proposals are valid for thirty (30) days unless stated otherwise. Projects typically require a deposit before work begins, with remaining payments scheduled per the proposal. Invoices are due on the date stated on the invoice. Unpaid balances over 30 days past due may be subject to pause of services and a late fee equal to 1.5% per month on the unpaid balance, or the maximum permitted by Louisiana law, whichever is lower.
REFUNDS
Deposits and payments for work already completed are non-refundable. Refunds on unperformed work are handled case-by-case as stated in the applicable proposal or service agreement.
THIRD-PARTY SERVICES
Our services often involve third-party platforms (hosting providers, domain registrars, advertising networks, CRM systems, email services, analytics, and similar). You are responsible for complying with the terms of service of those third parties and for their fees where applicable. We are not responsible for outages, policy changes, or actions taken by third parties.
NO WARRANTY
The Website and our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not guarantee specific search rankings, traffic levels, conversion rates, advertising return on investment, or business outcomes, as these depend on factors outside our control.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Greauxx and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Website or our services, including lost profits, lost data, or business interruption, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Website or our services will not exceed the amount you paid Greauxx in the twelve (12) months preceding the event giving rise to the claim.
INDEMNIFICATION
You agree to indemnify and hold Greauxx, its owners, employees, contractors, and agents harmless from any claim, demand, loss, or expense (including reasonable attorney’s fees) arising out of your breach of these Terms, your misuse of the Website or services, or your violation of any law or of the rights of a third party.
GOVERNING LAW AND VENUE
These Terms and any dispute arising out of or related to them or our services are governed by the laws of the State of Louisiana, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Lafayette Parish, Louisiana, and you consent to the personal jurisdiction of those courts.
DISPUTE RESOLUTION
Before filing any lawsuit, the parties will attempt in good faith to resolve any dispute through direct negotiation. If negotiation fails, disputes will be resolved in the courts identified above. This clause does not prevent either party from seeking injunctive relief for intellectual property or confidentiality matters.
TERMINATION
We may suspend or terminate your access to the Website at any time for any reason, including violation of these Terms. Provisions regarding intellectual property, limitation of liability, indemnification, governing law, and dispute resolution survive termination.
